Introduction

LAN10 PTY LIMITED ACN 655 708 277 (LAN10, we, us, our) operates a digital application, named LAN10 Vault designed to store private user documents accessible exclusively through biometric authentication, a platform developed and owned exclusively by us. These terms and conditions (Terms and Conditions) record an agreement between you (you, your, as appropriate), as the user and us for the purpose of your access or use of the Platform and all related activity or services.

These Terms apply to the application known as LAN10 Vault, the websites at lan10.com.au and vault.lan10.com.au, any subdomains operated by LAN10, and all associated functionality and services made available by LAN10 (collectively, the Platform).

By registering to use the Platform on any computing or mobile device (Device) you irrevocably agree to be bound by these Terms and Conditions and agree to the terms of our Privacy Policy which can be found at the following link: Privacy Policy.

We and our third-party licensors reserve the right to update, maintain, modify, replace, limit, and expand the Platform and its functionality.

Prior to accessing or using the Platform you should read these Terms and Conditions carefully.

Licence

You (Subscriber, you, yours) are granted, subject to these Terms and Conditions, a revocable, non-exclusive, non-transferrable and non-sublicensable licence to access and use the Platform for intended purposes only (Licence).

Nothing in these Terms and Conditions or otherwise creates an assignment of any rights in the Platform beyond the ability to use it for its intended use.

Nothing in these Terms and Conditions or otherwise creates the right for you to sublicence the Platform.

We may revoke or terminate your Licence at any time in accordance with these Terms.

To register for or use the Platform, you must be at least 18 years old.

Account eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to create and control a LAN10 Vault account. By creating an account, you confirm that you meet these requirements.

An adult account holder may use LAN10 Vault to store, manage or share documents relating to a person under 18 years of age.

If you create or use an account on behalf of an organisation, you also confirm that you are authorised to act on behalf of that organisation.

Fees and trial

All Fees are in Australian dollars. Prices displayed to consumers are shown as the total amount payable and include any applicable GST and all unavoidable or pre-selected fees.

We may offer a 15-day trial. No payment method is required and no Fee is charged during the trial. The trial does not convert automatically to a paid subscription. When you first attempt to access the Platform after the trial ends, you will be asked to select and pay for a subscription before continuing to use the Platform.

Current consumer Fees are displayed on the Pricing page. We will give at least 30 days' email notice of a material change to existing subscription Fees. Fees are refundable where these Terms state that a refund applies and where required by the Australian Consumer Law.

Disclaimer

The Platform uses encryption and secure data storage designed to protect your private and sensitive information. No digital system is completely impervious to all risks.

Accordingly, the Platform does not guarantee absolute security against all unauthorized access, breaches, or unforeseen vulnerabilities. You acknowledge that data security depends on multiple factors, including your own adherence to best practices in password management and access controls.

To the fullest extent permitted by law, LAN10 disclaims any liability for unauthorized access, data loss, or security incidents beyond our reasonable control. By using our services, you accept these risks and agree that the Platform will not be held responsible for damages arising from such events.

Use

To create and operate an account, you may be required to provide your first name, a valid email address and a valid telephone number. We also collect technical information generated by use of the Platform, including your IP address and device identifier. Together, this information is Account Data.

Payment information is provided directly to Stripe. LAN10 does not receive or store your full payment card number. Stripe may collect payment and billing information under its own terms and privacy notice.

Failure to supply correct Account Data may result in you being unable to use the Platform as intended.

You agree to update your Account Data if there are any changes to ensure that it is current and accurate at all times. You agree to update us to the extent you become aware of any such changes in relation to your account.

We use Account Data and metadata only as reasonably necessary to provide, secure, administer and support the Platform; communicate service notices; process subscriptions through our payment provider; investigate misuse or security incidents; maintain records; and comply with legal obligations.

We may disclose the minimum information reasonably necessary to service providers that support the Platform, including hosting, payment-processing and communications providers. We do not sell personal information and do not share it for third-party marketing. Further details are set out in our Privacy Policy.

You are responsible for maintaining the security of your login and account information. We are not liable for any loss or damage from your failure to comply with this security obligation.

All Account Data will be stored and maintained by or on behalf of us in accordance with Australian law.

Our use of any personal information provided within the Account Data will be in accordance with our Privacy Policy available on our website.

By providing your email address, you agree that we may send you service-related notices, including security, account, billing and material-change notices. We will not send marketing communications unless you separately opt in.

You must not use the Platform for any unconscionable behaviour or activity, including but not limited to:

  1. Engaging in abusive, derogatory, discriminatory, or vexatious behaviour;
  2. Engaging in any activity that disrupts or corrupts the Platform or the networks that host the Platform;
  3. Attempting to hack, disable, circumvent, or otherwise gain access to any security, database, or other secure aspect of the Platform; or
  4. Violate any laws in your jurisdiction when using the Platform, including but not limited to intellectual property law or privacy law or any other laws.

You must not modify, adapt or hack the Platform or modify another website or software so as to falsely imply that it is associated with the Platform or us. You must use the Platform for its intended purpose. You may not use the Platform for any illegal or unauthorised purpose, including the transmission of malware. You must not use the Platform to violate any laws in any jurisdiction.

You are responsible for all activities that occur on and in relation to your account, and we will not be liable for any loss or damage from activities on your account unless directly caused by us.

You must notify us immediately if you suspect any breach of security or unauthorized use of your account.

You may not authorise third parties to use your account. You may not assign or transfer your account to any other person or entity.

SMS verification - LAN10 Account Verification

LAN10 sends one-time passcodes by SMS to verify your identity when you register, sign in, confirm your mobile number, or approve a sensitive action on your account. SMS verification is a required security feature of your LAN10 account. You consent to receive these messages when you add your mobile number during account setup. Message frequency varies and depends on your account activity; messages are sent only when you initiate an action that requires verification. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. For help, reply HELP to any message or contact support@lan10.com.au. You can opt out at any time by replying STOP to any message; you will receive one confirmation message and no further passcodes. Because passcodes are required to verify your identity, opting out will prevent you from signing in with SMS verification, and you may be unable to access your account until you opt back in by replying START from the same mobile number. We do not sell, rent or share your mobile number with any third party for marketing purposes; your number is shared with our SMS delivery provider only for the purpose of transmitting the passcode.

Security

The Platform is intended to be used as a personal document storage and will allow the user to store personal documents in the permitted format such as but not limited to Word doc, PDF, Excel and PowerPoint. The Platform is not intended for the storage of video files of any format.

Encryption and document access

Documents are encrypted on your device before upload. Each document is protected by a file-encryption key that can be unwrapped only through the combined use of a device-held key and server-held key material. Neither component can decrypt a document on its own.

LAN10 does not receive plaintext document contents, does not hold the complete decryption capability and does not perform server-side processing of document contents. LAN10 cannot read document contents or cause a document to be decrypted without successful biometric authentication and approval on the document owner's device. For the current product, document decryption occurs on the document owner's device.

LAN10 can access the account information and metadata described in these Terms and the Privacy Policy, including file and folder metadata, recipient identifiers and access history. This metadata does not include the plaintext contents of your documents.

Account recovery is possible only by using one of the backup codes generated at registration to restore the existing device key. If you lose the registered device and all backup codes, LAN10 cannot recover your account or documents.

Device authentication

The Platform requires biometric authentication. On iOS, authentication is performed by Apple's LocalAuthentication framework using Face ID or Touch ID. On Android, authentication is performed through Android BiometricPrompt using an enrolled biometric method. The Platform does not accept a device passcode in place of biometric authentication.

LAN10 does not collect, receive, access, transmit or store your fingerprint, facial image, biometric template or device passcode. Biometric matching is performed locally by your device's operating system. After successful biometric authentication, the Platform receives a signed token confirming that authentication succeeded. The token is used for the requested action and is destroyed after use. LAN10 may retain an audit event recording only that an authentication attempt succeeded or failed.

The app asks for permission before biometric authentication is enabled. You must keep a supported biometric method enrolled on your device to use the Platform. If you disable or remove biometrics on your device, the Platform will be inaccessible until a biometric method is enabled again.

At registration, the Platform generates 10 single-use backup codes. A backup code can restore the existing device key on a replacement device. LAN10 cannot reset, reissue or override the backup codes. If you lose access to your registered device and all backup codes, LAN10 cannot recover your account or documents.

Intellectual Property

You undertake not to reverse engineer, replicate, reproduce, copy or resell the Platform or any service offered through it without our prior express written permission. We reserve all our rights to seek compensation, damages, injunctions, or any other remedy available to us at law if any attempt to do so, whether successful or unsuccessful, is made by you or any of your affiliates. We claim copyright and all other intellectual property rights over the Platform, its related products and services and reserve all our rights.

All intellectual property and ownership rights subsisting in the Platform (including the user interface and the software comprising the Platform), the data derived from use of the Platform including any de-identified data, and any other documentation, information or materials that are supplied by us to you, remain our or our third-party licensors' exclusive property. For the avoidance of doubt, nothing in this agreement assigns any ownership rights to you.

You retain all ownership rights in relation to the documents you store, the plaintext contents of which are inaccessible to LAN10.

Warranties

To the maximum extent permitted by law, the Application is provided on an "as is" and "as available" basis. We make no representations or warranties, express or implied, regarding the operation, availability, accuracy, reliability, completeness, security, or suitability of the Application.

By using the Platform, you acknowledge and agree that, to the maximum extent permitted by law and subject to your non-excludable rights under the Australian Consumer Law, we will not be liable for any direct or indirect expense, damage or injury (including indirect loss of revenue, profits, goodwill or business opportunity) howsoever caused, including arising directly or indirectly from or in connection with your use of the Platform.

While we use reasonable efforts to implement and maintain industry-standard security measures (including biometric access protocols), we do not warrant that the Application is completely secure or immune from unauthorised access, interference, hacking, data loss, or other breaches of security. You acknowledge that the use of the Application involves inherent risks associated with data transmission and storage.

To the fullest extent permitted by law, we expressly disclaim all warranties or guarantees of any kind, whether statutory, express, or implied, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or any warranties arising out of course of dealing or usage of trade. No advice or information, whether oral or written, that you obtain from us shall create any warranty, representation or condition not expressly stated herein.

Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law or any other applicable legislation which cannot be excluded, restricted or modified by agreement. To the extent that liability under such legislation may be limited, we limit our liability to the maximum extent permitted by law.

Limitation of Liability

Subject to any non-excludable consumer guarantees and other consumer protection provisions set out in the Australian Consumer Law, the Material displayed and services provided via the Platform is provided without any guarantees, conditions or warranties as to their accuracy or fitness for a particular purpose.

To the fullest extent permitted by law, we hereby expressly exclude all warranties and other terms which might otherwise be implied by statute, common law or the law of equity and will not be liable for any damages whatsoever, including but without limitation any direct, indirect, special, consequential, punitive or incidental damages, or damages for loss of use, profits, data or other intangibles, damage to goodwill or reputation, or the cost of procurement of substitute goods and services, arising out of or related to the use, inability to use or access, performance or failures of the Platform irrespective of whether such damages were foreseeable or arise in contract, tort, equity, restitution, by statute, at common law or otherwise.

We disclaim all liability for any:

  1. indirect, special, incidental, punitive, exemplary, reliance or consequential damages;
  2. loss of profits;
  3. business interruption;
  4. network interruptions;
  5. loss or damage to reputation of us or any third party;
  6. loss of information or data;
  7. loss or damage to your computer(s) or networks from viruses that may be downloaded to your computer in the course of using the Platform;
  8. all liability for any loss or damage.

For the avoidance of doubt, we retain the right to pause the Platforms for maintenance, upgrades, technical issues, or other reasonable operational requirements. We will use reasonable efforts to provide advance notice of any planned service interruptions and minimize disruption to users. Where possible, we will schedule maintenance during off-peak periods.

Some jurisdictions do not allow the exclusion of certain warranties, the limitation or exclusion of implied warranties, or limitations on how long an implied warranty may last, so the above limitations may not apply to you. If you reside in such a jurisdiction, the above limitations shall apply to you to the fullest extent permitted under applicable law.

To the maximum extent permitted by law, our maximum aggregate liability to you for any claims, damages, injuries or causes whatsoever, and regardless of the form of action (whether such liability arises due to negligence, breach of contract, misrepresentation or for any other reason), will at all times be limited to $1.00.

Indemnity

You agree to indemnify, defend and hold harmless LAN10 Pty Ltd, its directors, officers, employees, consultants, subcontractors, agents, and affiliates, from any and all third party claims, liability, damages or costs (including, but not limited to, legal fees) arising from:

  1. your use of or conduct in connection with the Platform; or
  2. your breach of these Terms.

You defend, indemnify and hold harmless us, our members, managers, subsidiaries, affiliates, any related companies, contractors, licensors and partners, and the officers, directors, employees, agents and representatives of each of them, for all liabilities, damages, costs and legal fees, from any claim or demand made by any third party due to or arising out of:

  • Your access to or use of the Platform;
  • Your violation of this agreement;
  • Any infringement by you of any intellectual property or other right of any person or entity.

We reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us and you will cooperate with our defence of these claims. You will not settle any matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

Metadata

We collect and store metadata generated by your use of the Platform. Depending on the feature used, this may include account and authentication events, IP address and approximate location, device identifiers and device type, login and access timestamps, file and folder names and structure, labels, file type and size, sharing permissions, recipient email addresses or mobile numbers, and access, denial and sharing history. Document contents remain encrypted as described in the Security section.

We use metadata only to operate, secure, maintain and support the Platform; produce aggregate operational metrics such as account and subscription counts; investigate suspected misuse or security incidents; maintain audit records; and comply with legal obligations. We do not use metadata for advertising, search engine optimisation, third-party marketing, profiling or artificial intelligence training, and we do not sell it.

We disclose personal information or metadata to a government agency or authority only where we are required to do so by law. Where lawful and practicable, we will notify you before disclosure. If advance notice is prohibited by law or would materially prejudice the lawful process, we may provide delayed notice when that restriction or prejudice ends.

We may use aggregated information that does not reasonably identify an individual to measure service usage, performance and capacity.

Discontinuation of the Platform

If LAN10 decides to permanently discontinue the Platform, we will give you at least 45 days' written notice by email and will send at least two reminder emails during that period, including one within the final 14 days.

During the notice period:

  1. you will be able to securely export your documents in their original formats, together with available folder structure, account data, sharing information and audit records;
  2. we will provide reasonable instructions and assistance for export;
  3. we will stop accepting new paid subscriptions; and
  4. no existing subscription will renew and no new Fee will be charged.

If you have prepaid Fees for a period after the discontinuation date, LAN10 will initiate a pro rata refund to the original payment method within 14 days after the discontinuation date. The time taken for cleared funds to reach you may depend on Stripe and your financial institution. If the original-method refund fails, we will contact you to arrange an alternative payment method.

After the export period ends, stored documents and other data designated for deletion will enter a seven-day recoverable deletion period. During that period, where the Platform remains available, you may restore the deleted material. LAN10 personnel cannot restore it for you. At the end of the seven days, the material will be hard-deleted from active systems and backups.

LAN10 may retain account metadata, access history, Azure Confidential Ledger entries and other records where they remain reasonably necessary for security, fraud prevention, dispute resolution or a legal obligation, as described in the Privacy Policy. LAN10 does not hold biometric templates and therefore has no biometric template to delete.

This clause applies to a discontinuation decision made by LAN10. If an administrator, liquidator or other insolvency practitioner is appointed, implementation may be affected by applicable insolvency law and that practitioner's powers. Nothing in this clause limits rights under the Australian Consumer Law.

Termination

We may terminate or suspend access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Governing Law

These Terms will be governed and construed in accordance with the laws of Western Australia, Australia, without giving effect to any principles of conflicts of law. The parties irrevocably submit to the exclusive jurisdiction of the courts of Western Australia, Australia and the courts of appeal from them. You waive any objection to jurisdiction and venue in such courts.

No Waiver

Any failure or delay by us in enforcing any right or provision of these Terms does not constitute a waiver of those rights.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these terms will remain in effect.

Entire Agreement

These Terms constitute the entire agreement between us regarding the Platform, including all features, functionality and services made available through the Platform, and supersede and replace any prior agreements we might have between us regarding the Platform. Any information provided through the Platform is general information only and does not constitute legal, financial, medical or other professional advice.

Changes to these Terms

We may update these Terms from time to time. A material change is a change that materially reduces your rights, increases your obligations, changes the Fees, changes how we handle personal information, or materially changes the core functionality of the Platform.

If we make a material change, we will notify you by email at least 30 days before the change takes effect. The email will describe the change and state its effective date. A change will not apply retrospectively.

A material change may take effect sooner where this is reasonably necessary to comply with law or a binding direction, respond to an urgent security issue, prevent fraud or serious misuse, or protect users or the Platform. In that case, we will notify you by email as soon as practicable and explain why the shorter period was required.

If you do not agree to a material change, you may close your account before it takes effect. We will refund any Fees you have prepaid for the period after closure on a pro rata basis. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

Non-material changes, including typographical corrections and clarifications that do not materially affect your rights or obligations, may take effect when posted.

Language

These Terms were originally written in English. To the extent any translated version of these Terms conflicts with the English version, the English version prevails.
